These draft terms describe the current TransactionOS MVP, user responsibilities, hosted subscription billing, and important items still requiring business and legal decisions.

1. The service

TransactionOS is a responsive web application that helps independent residential real estate brokerages organize property-based transaction folders, monitor required documents, identify missing files, manage team access, and view active and archived transactions.

The current service does not include electronic signatures, CRM integrations, accounting, commission tracking, legal advice, or automated compliance approval.

2. Accounts and brokerage workspaces

  • A broker may create a brokerage workspace and invite agents.
  • Users must provide accurate account information and protect their login credentials.
  • Users may not share an account or attempt to access another brokerage or an unassigned transaction.
  • The brokerage is responsible for keeping team access current and for informing us when access should be removed.
Business information requiredDefine the minimum user age, account eligibility, inactive-account process, and whether one person may create or join more than one brokerage.

3. Brokerage content and responsibilities

The brokerage and its users control the property, client, transaction, checklist, note, invitation, and document information entered into the service. They are responsible for ensuring they have authority to upload and use that information and for complying with their professional, contractual, recordkeeping, privacy, and legal obligations.

TransactionOS shows checklist completion based on user actions. A missing, uploaded, or not-required state is an organizational indicator and is not a legal or regulatory compliance determination.

Legal review requiredCounsel should define ownership and licensing of brokerage content, confidentiality duties, prohibited sensitive data, required backups, and any real-estate-specific recordkeeping disclaimer.

4. Acceptable use

Users may not:

  • Use the service unlawfully or violate another person’s rights.
  • Upload malicious code or content they are not authorized to use.
  • Bypass access controls, probe another customer’s data, or interfere with the service.
  • Use automated methods to overload, scrape, or disrupt the service.
Legal review requiredReview and expand acceptable-use restrictions for the operating jurisdiction, including suspension and investigation procedures.

5. Subscription and payment

Subscription checkout is hosted by Lemon Squeezy. The price, currency, billing interval, taxes, and other purchase details shown at checkout should be reviewed before a purchase is completed. TransactionOS receives subscription identifiers, status, and renewal or end dates but does not directly collect full payment-card details.

Business information requiredThe supplied founding offer states $79 per month for the first 12 months and a $149 monthly standard price, while the connected checkout was observed at ₱1,499 per month. These must be aligned before publishing final billing terms or accepting paid traffic.
Legal review requiredConfirm recurring-billing authorization, taxes, failed-payment handling, price-change notice, invoice process, merchant-of-record language, and the order of priority between checkout terms and these terms.

6. Cancellation and refunds

Cancellation and refund handling will follow the final Refund and Cancellation Policy once approved. The current application does not evidence a self-service subscription-management or cancellation page.

7. Availability, changes, and support

Founding-user support currently described by the offer includes a personal onboarding call, brokerage setup assistance, checklist configuration, agent invitation support, and direct email support during the founding-user period.

Business information requiredDefine support hours, response targets, maintenance notices, service availability commitments, feature-change rights, and whether any service-level agreement is offered.

8. Account suspension and termination

Legal review requiredDefine when the operator or customer may terminate, required notice, access after termination, data export, data deletion, outstanding fees, and any rights that survive termination.

9. Disclaimers and liability

Legal review requiredQualified counsel must draft jurisdiction-appropriate warranty disclaimers, limitation of liability, indemnity, and professional/legal/compliance disclaimers. None are invented in this first draft.

10. Governing law and disputes

Business information requiredSupply the operating entity’s jurisdiction and preferred dispute process. Counsel should then add governing law, venue, notices, informal resolution, and any arbitration or class-action language.

11. Changes to these terms

Business information requiredDecide how users will receive notice, how much advance notice is provided, and whether continued use constitutes acceptance.
